1. Agreement to Terms

By accessing or using Zadi ("the Platform", "we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access or use our services.

These Terms constitute a legally binding agreement between you and Zadi. Your use of the Platform indicates your acceptance of these Terms and your agreement to comply with all applicable Kenyan laws and regulations.

2. About Zadi

Zadi is a digital platform that connects Kenyan businesses with customers by facilitating the creation, distribution, and redemption of coupons, discounts, and promotional offers.

We provide a marketplace where vendors can create and manage coupon campaigns, and customers can discover, claim, and redeem deals from local businesses.

3. Eligibility and Registration

3.1. Vendor Registration

To use Zadi as a vendor, you must:

• Be a legally registered business operating in Kenya
• Be at least 18 years of age or have legal capacity to enter into contracts
• Provide accurate and complete registration information
• Verify your email address
• Maintain the security of your account credentials

3.2. Customer Use

Customers may browse and claim coupons without registration. To redeem coupons, you must provide valid contact information, including email address.

3.3. Account Responsibilities

You are responsible for:

• All activities that occur under your account
• Maintaining the confidentiality of your account password
• Notifying us immediately of any unauthorized use of your account
• Ensuring all information provided is accurate and up-to-date

4. Services Provided

4.1. Vendor Services

We provide vendors with tools to:

• Create and manage coupon campaigns
• Set discount parameters (percentage, fixed amount, or BOGOF offers)
• Track coupon claims and redemptions
• Manage business profile and information
• Generate QR codes for coupon redemption

4.2. Customer Services

We provide customers with access to:

• Browse available coupons and deals
• Claim coupons from participating businesses
• Receive coupons via email
• Redeem coupons at vendor locations

5. Vendor Obligations

5.1. Accurate Information

Vendors must provide accurate business information, including:

• Business name, location, and contact details
• Industry category
• Valid business registration documents (upon request)

5.2. Coupon Terms

Vendors must:

• Honor all coupons presented by customers in good faith
• Set clear and reasonable terms for coupon use
• Comply with advertised discount amounts
• Refrain from discriminatory practices in coupon redemption
• Ensure coupons are not misleading or fraudulent

5.3. Prohibited Content

Vendors may not create coupons for:

• Illegal products or services
• Gambling or betting activities
• Tobacco products (except as permitted by law)
• Adult content or services
• Any product or service that violates Kenyan law

6. Customer Obligations

Customers agree to:

• Use coupons only for personal, non-commercial purposes
• Respect coupon terms and expiration dates
• Present valid coupons at the time of redemption
• Not reproduce, sell, or transfer coupons without authorization
• Not use coupons in a fraudulent or deceptive manner

7. Intellectual Property

7.1. Platform Content

All content on the Zadi platform, including but not limited to logos, text, graphics, software, and design, is the property of Zadi or its licensors and is protected by Kenyan and international copyright and trademark laws.

7.2. Vendor Content

Vendors retain ownership of their business information, logos, and images uploaded to the Platform. By uploading content, vendors grant Zadi a non-exclusive, royalty-free license to use, display, and distribute such content on the Platform.

7.3. Customer Rights

Customers may view and print coupons for personal use only. Customers may not reproduce, distribute, or sell coupons without authorization.

8. Payment and Fees

8.1. Platform Fees

Zadi reserves the right to charge fees for certain premium services. All fees will be clearly disclosed before you incur any charges. Fees are subject to change with 30 days' notice.

8.2. Payment Processing

Any payments made through the Platform are processed securely. Vendors are responsible for all costs associated with their coupon campaigns and any applicable platform fees.

9. Limitation of Liability

9.1. Platform Services

Zadi acts as a platform connecting vendors and customers. We are not responsible for:

• The quality, safety, or legality of products or services offered by vendors
• Vendor business practices or customer service
• Disputes between vendors and customers
• Any loss or damage arising from the use of coupons

9.2. Service Availability

We strive to provide continuous access to our Platform, but we do not guarantee uninterrupted service. We are not liable for any damages resulting from service interruptions, technical issues, or maintenance.

9.3. Maximum Liability

To the fullest extent permitted by Kenyan law, Zadi's total liability for any claims arising from these Terms or your use of the Platform shall not exceed the amount you paid to us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Zadi, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any rights of third parties
• Content you post or transmit through the Platform

11. Termination

11.1. By You

You may terminate your account at any time by contacting us or using the account deletion feature (if available).

11.2. By Us

We may suspend or terminate your account if:

• You violate these Terms
• You engage in fraudulent or illegal activities
• You provide false or misleading information
• We are required to do so by law
• We decide to discontinue the Platform

11.3. Effect of Termination

Upon termination:

• Your right to use the Platform immediately ceases
• We may delete your account and data (subject to our Privacy Policy and data retention requirements)
• Vendors may not be able to access active campaigns or historical data
• Outstanding obligations shall remain in effect

12. Dispute Resolution

12.1. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of Kenyan courts.

12.2. Dispute Resolution Process

In the event of any dispute:

1. Parties shall attempt to resolve disputes through good faith negotiations
2. If negotiations fail, disputes may be referred to mediation in accordance with the Mediation Act of Kenya
3. If mediation is unsuccessful, disputes shall be resolved through arbitration in accordance with the Arbitration Act of Kenya, or through Kenyan courts

13. Consumer Protection

These Terms are subject to the provisions of the Consumer Protection Act of Kenya and any other applicable consumer protection laws. Nothing in these Terms shall limit your rights as a consumer under Kenyan law.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on the Platform. Continued use of the Platform after changes constitutes acceptance of the modified Terms.

If you do not agree to the modified Terms, you must stop using the Platform and may terminate your account.

15. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, internet failures, or government actions.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Zadi regarding your use of the Platform and supersede all prior agreements and understandings.

By using Zadi, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. You also acknowledge that you have read and understood our Privacy Policy, which governs how we collect, use, and protect your personal information.
